End User License Agreement

This End User License Agreement (“Agreement”) is a legal contract between you (“you” or “Licensee”) and Rockedge Ltd (Companies House no. 08983879), a company registered in England and Wales, trading as Rockedge Audio (“we”, or “us”). It governs your use of any audio plugin software distributed under the Rockedge Audio brand (the “Software”). Therefore, by installing, copying, or otherwise using the Software, you agree to be bound by this Agreement.
1. Grant of License
Subject to the terms of this Agreement, Rockedge Audio grants you a personal, non-exclusive, non-transferable, perpetual license to activate the Software with your license keyfile on up to three (3) computers that you own or control. The Software may be installed in trial mode on any number of machines without restriction.
The license is issued in your name (nominative). It may not be shared with, transferred to, or used by any other person.
Activation is keyfile-based and does not require a permanent internet connection. When a valid keyfile is present, the Software contacts Rockedge Audio servers once in the background each time it is launched, to register your machine for license compliance purposes; this call is non-blocking and does not affect functionality. The license keyfile provided to you upon purchase must not be distributed to others.
2. Trial Mode
The Software may be used without a license in fully functional trial mode, free of charge and without a time limit.
During trial mode the Software periodically inserts short silences into the audio output as a reminder to purchase. No data leaves your computer during trial use.
3. Activation and Data Collection
Each time the Software is launched with a valid license keyfile, it contacts Rockedge Audio servers once in the background. The following data is transmitted: a pseudonymous machine identifier (a hash of hardware characteristics), your operating system type, your license key string (a pseudonymous identifier that allows us to look up your license record on our servers, but does not itself contain your name or email address), and the major version number of the Software. The full contents of your keyfile — including your name — are never transmitted. This data is used solely to monitor compliance with the per-machine limit set out in section 1 and to verify version entitlement.

4. Purchase and Pricing
A license is acquired through a one-time purchase and is perpetual — there are no recurring subscription fees.
Provided your purchase is on record, you may request your license keyfile to be resent to your purchase email address at any time by contacting support@rockedge.co.uk.
This Agreement covers personal use only. Institutional, studio, or multi-seat licensing is available on request — please contact support@rockedge.co.uk.
Minor version updates (e.g. v1.x to v1.y) are provided free of charge for the lifetime of the major version you purchased.
Major version upgrades (e.g. v1.x to v2.y) are separate products and available at a separate upgrade price. You are never required to upgrade.
Rockedge Audio is under no obligation to provide maintenance, support, updates, or enhancements to the Software beyond what is expressly stated in this Agreement.
5. Refund Policy
Purchases are processed by Paddle, our Merchant of Record. Refund requests must be submitted directly to Paddle within 30 days of your purchase date through Paddle’s buyer support portal or by contacting support@rockedge.co.uk if you require assistance.
Upon receiving a refund your license will be deactivated and your right to use the Software under license terminates immediately. You must delete the license keyfile from all machines on which it was installed. You may continue to use the Software in trial mode.
Refund requests submitted after 30 days will not be granted except where required by applicable law.
6. Restrictions
You must not:
- — copy, redistribute, sell, rent, lend, or sublicense the Software or your license keyfile to any third party;
- — reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software;
- — modify, adapt, translate, or create derivative works based on the Software;
- — remove, alter, or obscure any proprietary notices, labels, or branding in the Software;
- — activate the Software with your license keyfile on more than three machines at any one time, or on machines you do not own or control.
7. Export Control
You agree to comply with all applicable export control laws and regulations, including those of the United Kingdom, the European Union, and the United States. You represent that you are not located in, and will not use the Software in, any country or territory subject to comprehensive trade sanctions or embargoes imposed by the UK, EU, or US governments.
8. Intellectual Property
The Software is licensed, not sold. Rockedge Audio and its licensors retain all intellectual property rights in the Software, including all copyrights, patents, trade secrets, and trademarks. This Agreement gives you no rights in the Software other than the limited right to use it as described herein.
9. Disclaimer of Warranty
The Software is provided “as is”, without warranty of any kind beyond your statutory rights as a consumer under applicable UK law. To the maximum extent permitted by law, Rockedge Audio disclaims all implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in this Agreement affects any statutory rights you may have as a consumer that cannot be excluded or limited by contract.
10. Limitation of Liability
To the fullest extent permitted by law, Rockedge Audio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising out of or in connection with your use of or inability to use the Software, even if advised of the possibility of such damages.
Our total liability to you in connection with this Agreement shall not exceed the amount you paid for the Software license.
11. Termination
This Agreement remains in effect until terminated. Your rights under this Agreement terminate automatically and without notice if you breach any of its terms. Upon termination your right to use the Software under license ends immediately and you must delete the license keyfile from all machines. You may continue to use the Software in trial mode.
Rockedge Audio reserves the right to deactivate a license where there is reasonable evidence of a breach of this Agreement, including installation on more machines than permitted. We will endeavour to contact you before taking action.
Sections 3, 6, 7, 8, 9, 10, 12, and 13 survive termination of this Agreement.
12. Entire Agreement
This Agreement constitutes the entire agreement between you and Rockedge Audio with respect to the Software and supersedes all prior or contemporaneous understandings, representations, or agreements, whether written or oral, relating to its subject matter. No amendment to this Agreement will be binding unless made in writing and agreed by both parties.
13. Governing Law and Disputes
This Agreement is governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
